VISUAL CROSSING WEATHER LICENSE TERMS

These license terms (“Terms”) are an agreement between Visual Crossing Corporation (“Provider”) and you. Please read them. They apply to your use of the Visual Crossing Weather services and software, including any websites or software extensions that allow Visual Crossing Weather to be used in third-party tools.  This collection of services and software is referred to in this agreement as the “Service Components.”  As used in this agreement the term Service Components may refer to any component of Visual Crossing Weather individually or any combination of the Visual Crossing Weather components used together.  This agreement also applies to any updates and supplements released for any of the Service Components, unless other terms accompany those items. If so, those terms apply.

BY DOWNLOADING, INSTALLING, OR USING THE SERVICE COMPONENTS, OR ATTEMPTING TO DO ANY OF THESE, YOU HAVE ACCEPTED THESE TERMS. IF YOU DO NOT INTEND TO ACCEPT THEM, YOU HAVE NO RIGHT TO (AND MUST NOT) DOWNLOAD OR USE THE SERVICE COMPONENTS.

If you comply with these license terms, you have the rights below.

1. INSTALLATION AND USE RIGHTS. You may use the Service Components on one or more devices that you own or control.

2. NAMED USER. A single, individual human user is referred to as a Named User.  A single Visual Crossing Weather account is licensed for use only by one or more Named Users based on the number of Named Users permitted for that license level.  Access to the account may not be shared by more users than the license level allows.  In no case may one account be shared across multiple companies or organizations without written permission from Visual Crossing.

3. MULTIPLE ACCOUNTS. No individual, business, or organization is permitted to have multiple Visual Crossing Weather accounts without the written permission of Visual Crossing unless explicitly allowed by their license level.  If at its sole discretion Visual Crossing determines that multiple accounts have been created, used, or controlled by a single individual, business, or organization, Visual Crossing may disable or delete all related accounts without notice.

4. API KEY. The use of the Service Components may require the provisioning of an API Key for you by Visual Crossing.  Accounts may be provisioned one or more API Keys up to the maximum number of Named Users permitted for your license level.  You are only permitted to share your API Key among multiple individual users up to the limit of Named Users allowed by your license level.  If API Key sharing is allowed by your account it may only be shared within a single organization or company. 

API Keys may not be exposed in public repositories, client-side code, mobile applications, downloadable applications, or other locations where they can be readily extracted, unless your license level expressly permits that use or Visual Crossing has approved the implementation in writing.

In all cases you remain responsible for all charges related to your account and API Key usage.  If you become aware of any unauthorized use of your API Key, you agree to notify Visual Crossing immediately.  If Visual Crossing becomes aware of unauthorized use, for security purposes we may disable your API Key without notification. However, Visual Crossing is under no obligation to disable your API Key until you notify us.  In all cases you remain liable for all charges related to your API Key usage until it has been successfully disabled.

5. ACCURATE INFORMATION. You must provide honest and accurate information to Visual Crossing as part of the registration process and whenever you communicate with Visual Crossing.

6. CIRCUMVENTING LIMITS. You may not use any technique to circumvent any limits or restrictions imposed by Visual Crossing. Disallowed techniques include but are not limited to the following: You may not use scripts or other automated tools to register multiple accounts. You may not use multiple accounts registered by multiple individuals in order to effectively combine the accounts’ limits. You may not direct end-users of your product, service, app, or application to register for their own individual Visual Crossing Weather accounts for use within your product, service, app, or application.

7. INTERNET-BASED SERVICE. The Service Components may require access to the Internet. In addition to the following, your use of those Service Components is subject to the terms provided to you by your internet service provider and/or your wireless carrier.

The Service Components may connect to computer systems over an Internet-based and/or wireless network. Using the Service Components operates as your consent to the transmission over the Internet of any information and data that you submit to the Service Components.  The Service Components may also transmit standard device information (including but not limited to technical information about your device).

You may not use the Service Components in any way that could harm it or impair anyone else’s use of it.

8. SCOPE OF LICENSE. The Service Components are licensed, not sold. This agreement only gives you some rights to use the Service Components. The Service Provider reserves all other rights. Unless the law gives you more rights despite this limitation, you may use the Service only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the Service that only allow you to use it in certain ways. You may not:

* work around any technical limitations in the Service Components;

* reverse engineer, decompile, or disassemble the Service Components, except and only to the extent that the law expressly permits, despite this limitation;

* make more copies of the Service Components than specified in this agreement and your license level;

* publish or otherwise make the Service Components available for others to copy; or rent, lease, or lend the Service Components except as permitted by your license level.

9. FAIR USE. To maintain the quality and performance of the Visual Crossing Weather service and ensure an optimum level of service performance for all users, Visual Crossing has established a Fair Use Policy.  This Policy seeks to identify and prevent disruptive usage patterns for the security of the system and the benefit of all users. Under this Policy, Visual Crossing may evaluate usage relative to each customer’s license level, purchased limits, request patterns, system impact, and other relevant operational factors. Visual Crossing may also establish usage profiles to identify patterns that significantly exceed typical usage. Usage that significantly exceeds the typical usage profile will be considered a violation of this Fair Use Policy.  If a customer’s usage is deemed a violation of this Policy, Visual Crossing may provide the opportunity for the customer to upgrade their license level or restrict the customer’s usage to maintain levels Visual Crossing deems safe and acceptable.  Under this Fair Use Policy Visual Crossing may also introduce limits as it deems necessary to protect the service and the user community.  In no case shall action under this Fair Use Policy permit any user to receive a refund for any fees already paid to Visual Crossing.

10. DATA STORAGE. Except for personal use of the licensee, the data produced by the Service Components may only be stored in a database or other storage and retrieval system if specifically permitted by your license level.

11. DATA SHARING. You are allowed to share Raw Weather Data and the Derivative Results of your analysis work with members of your same organization.  You must have explicit permission from Visual Crossing to share Raw Weather Data with subsidiaries, separate divisions, consulting services companies and similar related groups.  Raw Weather Data may never be shared or distributed publicly for download and may only be shown to the general public for viewing purposes where the data is not readily exportable, downloadable, or available through bulk export, API access, structured download, automated retrieval, or similar retrieval functionality.  Derived Results may be shared, displayed, and incorporated into externally-shared products or services, provided that they do not expose, reproduce, or substitute for Raw Weather Data except as permitted by your license level, and provided that applicable attribution requirements are observed.

Raw Weather Data means weather observations, forecasts, historical records, alerts, or other weather fields returned by the Service Components in substantially the same form provided by Visual Crossing. Derived Results means analysis, scores, models, recommendations, summaries, visualizations, reports, alerts, or business outputs created by combining, transforming, or analyzing Raw Weather Data.

12. DATA AND SERVICE LIMITATIONS. You acknowledge that weather data may be inaccurate, incomplete, delayed, unavailable, mislabeled, stale, estimated, interpolated, modeled, or derived from third-party sources. Errors may arise from sensors, stations, models, communications networks, third-party providers, geocoding, unit conversion, ingestion, cleansing, processing, transformation, aggregation, software defects, or other causes.  In addition, weather forecasts are inherently uncertain and may differ materially from actual conditions. You are solely responsible for determining whether the Service Components and the data they produce are suitable for your use case and for implementing appropriate redundancy, validation, monitoring, fallback procedures, human review, and end-user warnings.

13. RESALE OR COMPETING WEATHER DATA SERVICES. You may not use the Service Components or the data they produce to create, operate, or offer a weather data API, bulk weather dataset, weather data marketplace, or similar service that competes with Visual Crossing. Paid customers may use the Service Components and data as inputs into their own applications, analytics, reports, dashboards, alerts, forecasts, models, business processes, or customer-facing services, provided that they do not redistribute raw weather data except as permitted by their license level.  If, in Visual Crossing’s sole discretion, your usage is deemed a violation of this clause, Visual Crossing may terminate your use of the Service Components without notification or refund.

14. AVAILABILITY.  Unless stated otherwise in your license level or a written agreement with Visual Crossing, access to the Service Components may be restricted, blocked, or terminated at any time.  Unless your license level or a written agreement with Visual Crossing includes an uptime guarantee with specific crediting provisions, Visual Crossing will have no obligation to compensate you under these circumstances or to refund any fees already paid to Visual Crossing.

15. BULK DATASETS. For license levels that include standard bulk weather datasets, these datasets are not intended as substitutes for business-specific datasets and may not be suitable for any specific purpose.  The formats, units, locations, and other components of these datasets are determined by Visual Crossing and cannot be modified using the Visual Crossing Weather API.  The customer is permitted to modify these datasets using other means and use the datasets in ways that are consistent with these Terms and any other terms that apply to the customer’s use of Visual Crossing weather data.  At its sole discretion Visual Crossing reserves the right to change these datasets, their execution frequency, and their availability.  If specific locations, formats, or execution frequencies are required, the customer should use a custom bulk dataset tailored to their specific weather data use case or retrieve data directly through the Visual Crossing Weather API.

16. TECHNOLOGY AND EXPORT RESTRICTIONS. The Service Components may be subject to United States or international technology control or export laws and regulations. You must comply with all domestic and international laws and regulations that apply to the technology used, employed or supported by the Service Components. These laws include restrictions on destinations, end users and end use.

17. OFFICIAL-SOURCE DISCLAIMER. The Service Components and the data they produce are not a substitute for official government warnings, emergency alerts, evacuation notices, professional meteorological advice, or the customer’s own monitoring, validation, and judgment.

18. CUSTOMER LIST. If you have a business email attached to your Visual Crossing Weather account or otherwise make Visual Crossing aware that you are using the Service Components on behalf of a business, Visual Crossing may use your business name and/or its logo as part of our public customer list.  You may request that we not use your business information publicly by sending an opt-out request to support@visualcrossing.com from the email address associated with your account.  Upon receipt of a proper opt-out request, we will remove your business information from current versions of Visual Crossing’s public customer list within ten (10) business days.

19. PASS-THROUGH REQUIREMENT. If you share raw weather data or derivative results, you must provide all users with disclaimers and warnings materially equivalent to those in these Terms in a manner appropriate for your product or service.  You must not make representations that the Service Components, the data they produce, or any derivative work is error-free, complete, official, or suitable as the sole basis for critical decisions.

20. INDEMNITY. You agree to defend, indemnify, and hold Visual Crossing harmless from claims arising from your products or services, your use or misuse of the Service Components or the data they produce, your breach of these Terms, your failure to provide required disclaimers and warnings, or your use of the Service Components or data for any prohibited use or High-Risk Use.  High-Risk Use means any use where inaccurate, incomplete, delayed, unavailable, or otherwise unsuitable weather data could reasonably contribute to death, personal injury, property damage, environmental harm, regulatory violation, or material financial loss.

21. DOCUMENTATION AND SUPPORT SERVICES. Documentation and support services are available at https://www.visualcrossing.com and https://support.visualcrossing.com.  An account and/or additional payment may be required to access certain services or areas.

22. CANCELLATION AND TERMINATION. You may cancel your subscription or terminate this agreement at any time through your account billing portal or by providing written notice. In the event of cancellation or termination by you, Visual Crossing will not be obligated to refund any fees already paid, and access to the service will typically continue until the end of the current paid billing period. Any charges on your account that have accrued but have not yet been billed will be immediately due and payable upon cancellation. Unless otherwise specified in writing, this agreement may be terminated by Visual Crossing at the end of any billing period. All applicable provisions including but not limited to Data Storage, Applicable Law, Disclaimer of Warranty, and Limitation on and Exclusion of Remedies and Damages shall survive and remain in force.

23. ENTIRE AGREEMENT. This agreement, together with the details of your license level, is the entire agreement for the Service Components and the data they produce. This section cannot be construed to change the terms of your relationship with Visual Crossing regarding any other Visual Crossing product or service.  Other Visual Crossing products and services are governed by the license terms that accompanied, or terms of use that are associated with, the applicable product or service.

24. APPLICABLE LAW.  For any legal dispute arising based on this agreement or related to the Service Components you agree that the laws of the state of Virginia and the United States of America will govern.  To the extent possible, the courts located in the state of Virginia shall have jurisdiction and the appropriate Virginia court shall be the proper and agreed venue for such dispute. This applies regardless of conflict of laws principles.

25. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of the state or country where you reside. This agreement does not change your rights under the laws of the state or country where you reside if such laws do not permit it to do so.  If any term of this agreement is to any extent illegal, otherwise invalid, or incapable of being enforced, such term shall be excluded to the extent of such invalidity or unenforceability.  All other terms shall remain in full force and effect; and, to the extent permitted and possible, the invalid or unenforceable term shall be deemed replaced by a term that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term.

26. DISCLAIMER OF WARRANTY. THE SERVICE COMPONENTS ARE LICENSED “AS-IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.” YOU BEAR ALL RISK OF USING IT. VISUAL CROSSING CORPORATION, INTERNET SERVICE PROVIDERS, WIRELESS CARRIERS OVER WHOSE NETWORK THE SERVICE COMPONENTS ARE DISTRIBUTED, AND ITS AND THEIR RESPECTIVE AFFILIATES, VENDORS, AGENTS, AND SUPPLIERS (“DISTRIBUTORS”), GIVES NO EXPRESS WARRANTIES, GUARANTEES, OR CONDITIONS UNDER OR IN RELATION TO THE SERVICE COMPONENTS. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, DISTRIBUTORS EXCLUDE ANY IMPLIED WARRANTIES OR CONDITIONS, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

DATA PROVIDED AS PART OF OR ACCESSED VIA THE SERVICE COMPONENTS MAY BE DERIVED FROM VARIOUS THIRD-PARTY SOURCES AND NO GUARANTEE IS GIVEN REGARDING THE AVAILABILITY, ACCURACY, OR SUITABILITY OF THIS DATA FOR ANY TASK.  THIS INCLUDES BUT IS NOT LIMITED TO ERRORS, INACCURACIES, FAULTS, AND OMISSIONS DUE TO THIRD-PARTY SOURCES, STALE DATA, DELAYED DATA, INTERPOLATED DATA, MODELED DATA, ESTIMATED DATA, MISSING DATA, SENSOR OUTAGES, STATION RELOCATION, UNIT CONVERSIONS, GEOCODING ERRORS, MAPPING ERRORS, AND DELIVERY ERRORS. YOU AGREE NOT TO USE THE SERVICE COMPONENTS IN ANY ENVIRONMENT WHERE INACCURACY OR OTHER LIMITATION COULD CAUSE HARM TO PERSONS OR PROPERTY.  THIS INCLUDES BUT IS NOT LIMITED TO ANY HIGH-RISK USE AS DEFINED ABOVE.  IN ANY SITUATION WHERE INJURY OR HARM DOES OCCUR YOU AGREE TO WAIVE ANY CLAIMS FOR LIABILITY OR INJURY FOR SUCH USE.

27. LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES. TO THE EXTENT NOT PROHIBITED BY LAW, YOU CAN RECOVER FROM THE SERVICE PROVIDER ONLY DIRECT DAMAGES UP TO THE AMOUNT YOU PAID FOR THE SERVICE COMPONENTS DURING THE MOST RECENT THIRTY (30) DAYS. YOU AGREE NOT TO SEEK TO RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES FROM THE SERVICE PROVIDER OR ANY DISTRIBUTOR.

This limitation applies to

* anything related to the Service Components, data made available through the Service Components, or content (including code) on Visual Crossing or third-party Internet sites; and

* claims for breach of contract; breach of warranty, guarantee or condition; or strict liability, negligence, or other tort to the extent permitted by applicable law.

It also applies even if

* repair, replacement, or a refund for the Service Components does not fully compensate you for any losses; or

* Service Provider and/or distributor knew or should have known about the possibility of the damages.
